VENDOR AGREEMENT
This Vendor Agreement (“Agreement”) is entered into between delight.com.sg/delight.sale/Delight.id/Delight.com.ph, operated by

Delight OptoElectronics pte Ltd Singapore, UEN201403598C,

having its principal office at

#06-76 MidView City
Singapore 573969],

hereinafter referred to as the “Marketplace”, and the undersigned vendor, hereinafter referred to as the “Vendor.”

By registering and listing products on Delight.com.sg / Delight.sale/Delight.id/Delight.com.ph, the Vendor agrees to the following terms:

1. Eligibility

Vendors must:

  • Be a legally registered entity or individual with the authority to sell the listed products.

  • Provide accurate business registration, bank, and tax details upon request.

2. Product Listings

  • Vendor is responsible for creating and managing accurate, up-to-date listings.

  • Listings must include clear descriptions, prices, and product images.

  • The Marketplace reserves the right to edit, suspend, or remove listings that violate guidelines or applicable laws.

3. Pricing and Payments

  • Vendor sets the product pricing.

  • Marketplace may charge a commission fee of [insert %] per transaction.

  • Payments will be disbursed to the Vendor [weekly/monthly] after deducting fees, returns, or penalties, if any.

4. Order Fulfillment & Shipping

  • Vendor is responsible for packaging and shipping products promptly.

  • Shipping timelines and costs must be clearly stated in listings.

  • Vendors must update tracking info within [24–48 hours] of dispatch.

5. Returns and Refunds

  • Vendor agrees to comply with the Marketplace’s return and refund policies.

  • If a customer is entitled to a refund due to defects, late delivery, or product not as described, the Vendor will bear the cost.

6. Vendor Responsibilities

  • Maintain professional communication with customers.

  • Ensure product safety, legality, and authenticity.

  • Comply with all applicable local laws and import/export regulations.

7. Commission & Fees

  • Delight.com.sg / Delight.sale/Delight.id/Delight.com.ph shall charge:

    • Commission: [Insert %10]

    • Platform Fees: [$1200]

    • Optional Add-ons: (e.g., promotions, ads)

  • All fees are subject to change with 14-day notice.

8. Termination

  • Either party may terminate this agreement with 14 days’ written notice.

  • Immediate termination may occur due to breach of policies, illegal activity, or repeated customer complaints.

9. Intellectual Property

  • Vendor retains rights to their product content but grants the Marketplace the right to display, promote, and distribute it.

  • Vendor must not list counterfeit or unauthorized branded products.

10. Limitation of Liability

  • Delight.com.sg / Delight.sale/Delight.id/Delight.com.ph is not liable for any direct or indirect losses resulting from product defects, delays, or disputes between the Vendor and buyers.

11. Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of Singapore.

12. Acceptance

By signing up and listing products on Delight.com.sg / Delight.sale, the Vendor agrees to abide by all the terms stated above.
